Facility Membership Terms & Conditions

These Facility Membership Terms & Conditions (“Terms”) govern your purchase and use of the Caregiver Training Facility Membership (“Membership”) offered by Adsylo Academy, a division of Adsylo Group LLC (“Adsylo Academy,” “we,” “us,” or “our”). By purchasing a Membership, you agree to these Terms.

1. Membership Plans

The Membership is available in two billing options, selected at checkout based on your facility’s caregiver-seat tier:

• Monthly Payment Option — billed monthly, as described in Section 2.
• Annual Payment Option — billed once per year, as described in Section 3.

Your Membership grants access to the caregiver training courses included with your selected facility-size tier, individual caregiver learner accounts, training progress tracking, and Certificates of Completion, for as long as your Membership remains active.

2. Monthly Payment Option

2.1 Initial Commitment

The Monthly Payment Option begins with an initial 12-month commitment. Your payment method will be charged automatically once each month for 12 consecutive months.

2.2 After the Initial Term

Once the 12th monthly payment has been successfully processed, your Membership automatically continues on a month-to-month basis at the same rate, billed automatically each month, until canceled in accordance with Section 5.

2.3 Cancellation During the Initial Term

Self-service cancellation is not available during the initial 12-month commitment. The initial 12 monthly payments are required and are non-refundable, consistent with Section 6. 3. Annual Payment Option

3.1 Initial Term

The Annual Payment Option is billed as a single upfront payment covering a 12-month membership term.

3.2 Automatic Renewal

Your Membership will automatically renew for an additional 12-month term at the then-current Annual rate for your facility-size tier, unless you cancel before your renewal date in accordance with Section 5.

3.3 Renewal Notice

We will send a renewal reminder to the email address on your account at least 30 days before your renewal date, so you have time to make changes or cancel if you choose.

4. Billing and Pricing

4.1 Facility-Size Tiers

Pricing is based on the facility-size tier selected at checkout (e.g., “Up to 5 Caregivers,” “Up to 10 Caregivers,” etc.), reflecting the maximum number of caregiver seats included in your Membership.

4.2 Price Changes

We may change Membership pricing for future billing cycles. If a price change applies to your Membership, we will provide notice before it takes effect, consistent with applicable law.

4.3 Payment Authorization

By purchasing a Membership, you authorize us to charge your payment method on file for all recurring charges described in these Terms, until your Membership is canceled.

5. Cancellation

5.1 How to Cancel

Once eligible (see Sections 2.3 and 3.2), you may cancel your Membership at any time through your online account (My Account → Subscriptions) or by contacting us at training@adsyloacademy.com.

5.2 Effect of Cancellation

Cancellation stops future billing. It does not entitle you to a refund of amounts already paid; see Section 6 for details.

6. Membership Fees & Refunds

Membership fees are non-refundable once membership access has been activated. Because membership provides access to digital training content, courses, and the online learning portal, payments already processed are not refundable due to cancellation, downgrade, non-use, or unused time remaining in a billing period.

This includes:

• Monthly membership payments already charged
• Annual membership payments paid upfront
• Any unused portion of an active membership or billing term

Cancellation will stop future eligible charges according to these Terms, but it does not create a refund for amounts already paid.

Nothing in this policy limits any rights or remedies that may be required by applicable law.

If you experience an issue with your Membership, billing, or access to the learning portal, contact us at training@adsyloacademy.com and we will work with you to resolve it.

7. Changing Facility Size

If your caregiver staffing needs change, contact us at training@adsyloacademy.com and we will help you move to a different facility-size tier or adjust your caregiver seats, consistent with your current Membership plan.

8. Access to the Learning Portal

Access to the learning portal and assigned courses is provided for the duration of your active Membership. Access ends if your Membership is canceled or a payment is not successfully processed.

9. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice as required by applicable law. Continued use of your Membership after changes take effect constitutes acceptance of the updated Terms.
